Craig P. Ramsdell is an accomplished litigator and transactional attorney who represents individuals and businesses in a variety of legal matters. Craig has represented individuals and businesses in complex litigation matters involving contractual issues, employment matters, energy matters, consumer protection, franchise matters, property matters, and intentional tort and negligence matters.

 

Craig has appeared before multiple judicial forums, including before various federal and state courts, arbitration and mediation tribunals, and before numerous administrative agencies. Craig has successfully represented clients in multiple jury and bench trials and represents clients in all aspects of pre-litigation and litigation proceedings.

 

Craig also counsels clients through all stages of the company’s life cycle, including entity formation, stock issuances, capital structure, corporate governance, crowdfunding, mergers and acquisitions, venture capital financings and general corporate matters.

 

Craig was selected to the Northern California Super Lawyers List for the years 2022, 2023, and 2024 in the area of Employee Benefits.  Craig was named to the Northern California Rising Stars List by Super Lawyers Magazine in the area Business Litigation from 2019 to 2021.

SELECT CASES

  • As lead counsel, achieved favorable summary judgment order and settlement in Bernadette Paine v. Investment and Administrative Committee of The Walt Disney Company Sponsored Qualified Benefit Plans and Key Employees Deferred Compensation and Retirement Plan, et al. in the U.S. District Court for the Central District of California, an action that included claims for benefits and fiduciary breach under ERISA.

 

  • As co-lead counsel, achieved monetary settlement and obtained significant injunctive relief in class action styled Essila, et al. v. Paradise Irrigation District, et al. in Butte County Superior Court involving issues relating to a public retirement plan, including fiduciary breach.  In the Court’s Order granting Final Approval of Settlement, the Court acknowledged “the excellent result achieved and the outstanding quality of representation of Settlement Class Counsel.”

 

  • As lead counsel, successfully represented a large public utility company in jury trial against Verizon Communications.

 

  • As lead counsel, successfully represented a technology company in jury trial against Bank of America involving complex contractual and financial issues.

 

  • As lead counsel, successfully represented a major electric company in a complex arbitration proceeding initiated by seven claimants seeking several million dollars in damages.

 

  • Garofolo & Ramsdell, LLP was appointed lead settlement class counsel in Spinedex Physical Therapy, U.S.A., Inc., et al. v. United Healthcare of Arizona, Inc., et al. in the United States District Court for the District of Arizona, an action that included claims for fiduciary breach against one of the largest insurance companies in the United States and involved many thousands of class members.

 

  • Garofolo & Ramsdell, LLP won appeal before the United States Court of Appeals for the Ninth Circuit in California Spine & Neurosurgery Institute v. Blue Cross of California affirming that a claims fiduciary waives the defense of an anti-assignment provision if the defense is not asserted during the administrative process.

 

  • As lead counsel, achieved favorable settlement in McCrary v. Tereo Corp., et al., in the U.S. District Court for the Northern District of California involving complex issues of patent infringement, copyright infringement, and trade secrets.

 

  • As lead counsel, achieved favorable settlement in Roosevelt v. Northbay Healthcare Corp. in the Solano County Superior Court involving issues of racial discrimination and disparate treatment of an employee.

 

  • Key member of litigation team that successfully defended a major electric company in a $65 million breach of contract action.

 

SELECT TRANSACTIONS

  • As lead counsel, represented a prominent technology company, POWr, Inc., with respect to its stock acquisition for a purchase price in excess of $20,000,000.

 

  • Represented DoctorBase, Inc. with respect to its multi-million dollar stock acquisition.

 

  • Represented major electric company with respect to issuance of $164.8 million in tax-exempt revenue bonds.

 

  • Represented public entities with respect to the issuance of bonds in excess of $5 million.

 

  • Has served as counsel to several prominent technology companies and represented the companies on a variety of contract, employment, and corporate governance matters.

 

 

Craig began his career at the Boston law firm of Ferriter Scobbo & Rodophele, PC. where he represented multi-million dollars companies and governmental entities in complex litigation and commercial disputes.

 

Craig graduated cum laude from Suffolk University Law School in Boston, Massachusetts where he served as Chief-Note-Editor of the Transnational Law Review. He was awarded with the Best Brief Award and Distinguished Oral Advocated Award and was selected to the Dean’s list.

 

Craig attended the College of the Holy Cross where he graduated with Honors and was a member of the Men’s Varsity Rowing Team.

 

Craig is admitted to practice in California, Nevada, and Massachusetts, as well as the U.S. District Court for the Northern District of California, the U.S. District Court for the Central District of California, and U.S. District Court for the Eastern District of Texas
